The board of directors has general authority over the company's affairs




The Limited Liability Companies Act has given the board of directors extensive authority over the company's affairs. The board of directors is obliged to ensure the company's administration and the proper organisation of its operations. This obligation is called the board's general authority. According to the dissertation, this is a general provision that assigns to the board all tasks that are not assigned to another corporate body in the Limited Liability Companies Act or the articles of association. The assignment of a task to the board of directors means that it is performed based on a decision of the board of directors or that the board of directors has an obligation to ensure that the matter is performed.

The dissertation further indicates that the Limited Liability Companies Act contains a large number of special provisions stating that a specified task expressly belongs to the board of directors or its members. Such tasks are called special tasks of the board of directors.

According to Section 6:25 of the Limited Liability Companies Act, the board of directors represents the company. The power of representation belongs to the board of directors as a collegial body, i.e. as a whole. A quorum of the board of directors may represent the company, unless the Companies Act or the articles of association require the participation of all members.

Most decisions in a limited liability company are business decisions. Business decisions are guided by the company's purpose. Generating profit for shareholders while promoting the company's interests is realized in the company's institutions and in the assignments of the board of directors.

The company may also have a managing director and a supervisory board. The supervisory board is a body under limited liability company law, but it does not have the power of representation in the limited liability company. Shareholders exercise their decision-making power linked to the share at the general meeting in matters within the competence of the general meeting.

The dissertation also thoroughly examines the other persons to be taken into account in addition to the bodies under limited liability company law who can make decisions in the company's affairs. In this case, the question is about the right of representation based on the articles of association, a power of attorney, or a position authorization. According to Section 10.2 of the Act on Legal Transactions in Property Law (228/1929), whenever someone has a position as a result of an act or otherwise entered into with another person, which, according to law or common practice, entails a certain type of capacity to act on behalf of the other person, he or she is deemed to be authorized to perform legal transactions within the limits of this capacity. Such a position is, for example, that of the finance, economic, administrative or marketing director or another person who has the capacity to act in the company's affairs based on his or her position, such as the salesperson of the company's products. The position of authority does not in itself require a managerial position.

The Arctic Circle Players sit on the floor or in a circle in the snow with their eyes closed and the leader stands in the middle of the circle with the Stargames ball in his hand.

As the leader rolls the Stargames ball along the ground to the player's feet, the player who is hit puts his hands over his left and right ears and shouts "hit". The player on the left puts his right hand over his ear and the player on the right puts his left hand over his ear. In this way, the leader guides the players at a fast pace by rolling the Stargames ball to their feet. The offender is always out of the game and leaves the circle. The last ones left are the winners.
