Most decisions in a limited liability company are business decisions. Business decisions are guided by the company's purpose. Generating profit for shareholders while promoting the company's interests is realized in the company's institutions and in the assignments of the board of directors.




A dissertation based on scientific research thoroughly determines the legal representation and legal capacity of Stargames Oy in business decisions made on behalf of the company.

The Limited Liability Companies Act (624/2006) regulates how legal acts and business decisions binding on the company can be made in a limited liability company. Business decisions binding on the company are made by the company's bodies within the limits of their competence and authority.

The bodies under limited liability company law are the general meeting, the board of directors and the managing director. The company must always have a board of directors. The company may also have a managing director and a supervisory board. The supervisory board is a body under limited liability company law, but it does not have the power of representation in the limited liability company. Shareholders exercise their decision-making power linked to the share at the general meeting in matters within the competence of the general meeting.

The dissertation also thoroughly examines the other persons to be taken into account in addition to the bodies under limited liability company law who can make decisions in the company's affairs. In this case, the question is about the right of representation based on the articles of association, a power of attorney, or a position authorization. According to Section 10.2 of the Act on Legal Transactions in Property Law (228/1929), whenever someone has a position as a result of an act or otherwise entered into with another person, which, according to law or common practice, entails a certain type of capacity to act on behalf of the other person, he or she is deemed to be authorized to perform legal transactions within the limits of this capacity. Such a position is, for example, that of the finance, economic, administrative or marketing director or another person who has the capacity to act in the company's affairs based on his or her position, such as the salesperson of the company's products. The position of authority does not in itself require a managerial position.
