Transfer of jurisdiction

The authority of the Board of Directors and the CEO can be delegated to the general meeting by a provision in the articles of association or by a decision of the board of directors. The possibility of delegation only applies to matters falling within the general authority of the Board of Directors and the CEO. The matters to be delegated related to the general authority of the Board of Directors and the CEO are usually business-related. The dissertation refers, for example, to a decision to sell a part of the company's business in relation to the general authority of the Board of Directors.

It should be noted in particular that the authority of the Board of Directors or the CEO cannot be delegated to the general meeting, even in relation to a provision in the articles of association regarding tasks that are expressly provided for by law as the tasks of these bodies. These are then special tasks.

Shareholders can also unanimously make a decision in individual cases on a matter falling within the general authority of the Board of Directors or the CEO without a provision in the articles of association or a delegation decision by the board.
