General authority of the CEO
The CEO also represents the company based on Section 6:25 of the Finnish Companies Act, but the right of representation only applies to tasks within the general authority of the CEO. In this case, the right of representation applies to matters within the company's day-to-day administration. This is called the CEO's general authority.

The dissertation refers to the CEO's general authority, based on which the CEO is responsible for all tasks that are defined as operational and that are part of the company's day-to-day administration, which do not fall within the duties of the Board of Directors and unless otherwise provided for by instructions and regulations issued by the Board of Directors.
The Board of Directors may, in individual cases or pursuant to the Articles of Association, make a decision on a matter within the general authority of the CEO. If the company has not elected a CEO, the company's day-to-day administration also falls within the scope of the company's board of directors' authority. The relationship between the division of authority between the Board of Directors and the CEO is flexible, it is determined on a company-specific basis and is therefore at the discretion of the Board of Directors.
